1. Agreement to Terms

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and AiAdzy ("Company", "we", "us", or "our") regarding your use of the AiAdzy platform (the "Service").

By creating an account, accessing the platform, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Eligibility

You must meet the following requirements to use AiAdzy:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Not be barred from using the Service under applicable law
• Provide accurate and complete registration information
• Maintain the security and confidentiality of your account credentials

By using the Service, you represent and warrant that you meet these eligibility requirements.

4. Service Description

AiAdzy provides an AI-powered platform for generating User Generated Content (UGC) style videos from product images. Our service includes:

• Product image upload and analysis using GPT-5-mini multimodal AI
• AI-generated questionnaires for targeting and personalization
• Automated script and storyboard generation
• Video generation using OpenAI's Sora 2 API
• Avatar generation and analysis using Google's Gemini AI via OpenRouter
• Multiple video styles, formats, and durations
• Storage and management of generated videos

Note: Service features and capabilities are subject to change. We reserve the right to modify, suspend, or discontinue any part of the Service with or without notice.

5. Subscription Plans & Billing

5.1 Subscription Tiers

5.2 Credit System

• 1 credit = $1.00 USD
• Credits are deducted when you generate a video
• A typical 12-second video costs approximately 1.5-2 credits
• Unused credits roll over to the next billing cycle
• Credits purchased separately (top-ups) do not expire

5.3 Billing Terms

• Subscriptions are billed monthly or annually in advance
• Payment is due immediately upon subscription or renewal
• All fees are non-refundable except as required by law
• We reserve the right to change pricing with 30 days' notice
• Failed payments may result in account suspension

5.4 Free Trial

New users receive 10 free credits (no credit card required). Trial credits:

• Can only be used once per user (one trial per account)
• Expire after 30 days if unused
• Cannot be combined with promo codes

6. Cancellation & Refunds

6.1 Cancellation Policy

• You may cancel your subscription at any time from your account settings
• Cancellations take effect at the end of the current billing period
• You will retain access to paid features until the end of the billing period
• Unused credits will be forfeited upon cancellation (no refunds)

6.2 Refund Policy

Limited exceptions (at our sole discretion):

• Technical issues on our end preventing service use (verified by our support team)
• Duplicate charges due to payment processing errors (refunded within 7 days)
• As strictly required by applicable consumer protection laws

6.3 No Credit Back Policy

Once credits are used to generate a video, they are permanently consumed and cannot be:

• Refunded to your credit balance
• Converted back to monetary value
• Transferred to another account
• Reinstated due to dissatisfaction with video quality

By using our service, you acknowledge and accept that AI-generated content may not always meet your expectations, and this does not entitle you to a refund or credit restoration.

7. Acceptable Use Policy

You agree NOT to use the Service to:

Enforcement: Violation of this policy will result in immediate account suspension, termination without refund, forfeiture of all credits, and potential legal action. We reserve the right to report illegal content to law enforcement authorities.

8. Intellectual Property Rights

8.1 Your Content

You retain ownership of:

• Product images you upload
• Reference videos you provide
• Questionnaire responses and customizations

By uploading content, you grant AiAdzy a worldwide, non-exclusive, royalty-free license to use, process, and store your content solely for the purpose of providing the Service.

8.2 Generated Videos

You own the videos generated through the Service, subject to the following:

• You must have a valid subscription or sufficient credits to generate the video
• You must have rights to the product images used in generation
• Videos are created using AI (GPT-5-mini and Sora 2) and may have limitations under copyright law
• You are responsible for ensuring commercial use complies with applicable laws

8.3 AiAdzy Platform

The AiAdzy platform, including all software, designs, text, graphics, and other content (excluding user-generated content), is owned by AiAdzy and protected by copyright, trademark, and other intellectual property laws.

9. Disclaimers & Warranties

10. Limitation of Liability

Acknowledgment: By using this service, you expressly acknowledge and agree to these limitations. Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless AiAdzy, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights (including intellectual property)
• Content you upload or generate using the Service

12. Termination

12.1 By You

You may terminate your account at any time by contacting support or using the account deletion feature in settings.

12.2 By AiAdzy

We may suspend or terminate your account if:

• You violate these Terms or our Acceptable Use Policy
• You fail to pay subscription fees
• You engage in fraudulent activity
• We are required to do so by law
• We cease operations or discontinue the Service

12.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete your account data after 30 days. Generated videos may be retained for backup purposes.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of [Your Jurisdiction], without regard to conflict of law principles.

13.2 Arbitration

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, except where prohibited by law. You agree to:

• Waive your right to a jury trial

We may update these Terms from time to time. Material changes will be communicated via:
